In this instrument, unless the context requires otherwise:

1. “Company” / “House” / “we” means Himalayan Region, Dehradun, Uttarakhand, together with its proprietor, authorised representatives and successors.
2. “Counterparty” / “Buyer” / “Partner” / “you” means any person, firm, company, institution or authority that enquires, samples, orders, purchases, licenses, gifts, distributes or partners with the Company.
3. “Products” means the goods, botanicals, foods, oils, powders, teas, craft, gifting and experiences offered by the Company, including those in the Product & SKU Schedule at Annexure B.
4. “SKU / Product Code” means the Company's unique reference for a Product line (e.g. HR-SB-J01).
5. “Reserve Pricing” means value discussed privately on application, per Article 4, rather than a public price list.
6. “SHG” means a Self-Help Group; “Mahila Mangal Dal” means a women's village welfare collective; together with producer groups and rural artisans, the “Source Communities”.
7. “GI” means Geographical Indication as recognised under the laws of India, including in respect of Aipan art of Kumaon.
8. “Order” means a confirmed instruction to supply; “Quotation” means the Company's written offer of terms and value.
9. “MoU” means a Memorandum of Understanding executed between the Company and a Partner.
10. Headings are for convenience only. The singular includes the plural; references to law include amendments to it; “including” means “including without limitation”.

1. The Company is a business-to-business (B2B) house. It supplies wholesalers, retailers, hotel and hospitality groups, wellness and nutraceutical brands, importers, exporters, tourism operators and corporate gifting programmes. It does not operate as a consumer retailer save where expressly agreed.
2. These Terms apply to every enquiry, sample, quotation, order, supply, license, gift and partnership, and are deemed accepted when a Counterparty places an enquiry or order, accepts a sample, signs an MoU, or otherwise deals with the Company.
3. Any purchase conditions of a Buyer are expressly excluded unless the Company agrees to them in writing. No conduct of the Company shall be treated as acceptance of a Buyer's terms.
4. The Company may decline any enquiry or order at its discretion, particularly where acceptance would compromise the interests of the Source Communities, the quality of the Products, or the values of this House.

1. The Company's portfolio is organised into named collections: the Sea Buckthorn Reserve, Wild & Foraged, the Nettle Trilogy, Roots, Grains & the Golden Spice, the Pulse Estate (GI Belt), Herbal Teas & Infusions, and Exclusive Corporate Gifting.
2. Every line carries a unique SKU. The authoritative register of SKUs, descriptions and available formats is set out at Annexure B, which forms part of these Terms and may be updated by the Company from time to time.
3. Product photography, descriptions, weights and formats are indicative. Being a natural harvest, the Products vary by season, altitude and hand; the Company warrants character and standard, not machine uniformity.
4. New collections, SKUs and formats may be added. The Company may withdraw or reserve any line — particularly the rarest wild-gathered items — to protect the Source Communities and the resource.

1. The Company operates on Reserve Pricing. Value is discussed privately on application and confirmed by written Quotation; the Company does not publish a general price list.
2. A Quotation is valid for the period stated on it, or fifteen (15) days where none is stated, and may be revised for movements in harvest availability, foreign exchange, statutory levies or freight.
3. Prices are exclusive of applicable Goods & Services Tax (GST) and other statutory charges, which are payable additionally at the prevailing rate.
4. Reserve, wild-gathered and by-commission lines (including GI-tagged Aipan and curated hampers) are priced by bespoke Quotation against the Buyer's brief and volume.

1. A binding contract is formed only when (a) the Buyer accepts a Company Quotation in writing, or (b) the Company issues a written Order confirmation, whichever is applicable.
2. Each Order shall specify SKUs, formats, quantities, delivery point and timeline. In case of conflict, the Company's Quotation and these Terms prevail over any pre-printed Buyer document.
3. Once confirmed, an Order may not be cancelled or varied without the Company's written consent; bespoke, wild-gathered and commissioned items are non-cancellable once production or foraging has begun.

1. Minimum Order Quantities (MOQs) apply per SKU and format as stated in the Quotation. Corporate gifting and Aipan commissions carry custom MOQs set to brief.
2. Seasonal and wild-gathered lines are supplied against harvest windows. The Company will indicate lead times honestly and will not over-commit a fragile resource to meet a volume it cannot ethically supply.
3. Standing or scheduled supply may be arranged under an MoU per Article 21.

1. Unless a Quotation or MoU states otherwise, the Company's standard schedule for made-to-order and volume supply is milestone-based — 30% on confirmation, 40% on readiness/pre-dispatch, and 30% on delivery against documents.
2. Domestic transactions are invoiced in Indian Rupees (INR); export transactions in the currency agreed in the Quotation, with bank charges and conversion borne by the Buyer unless otherwise agreed.
3. Time for payment is of the essence. Overdue sums may attract interest at the rate permitted by applicable law, and the Company may suspend supply and withhold documents or title until payment is received in full.
4. All taxes, duties, cesses and statutory levies are to the Buyer's account, save the Company's own income tax. GST is charged as applicable and reflected on a compliant tax invoice.
5. The Buyer shall not withhold or set off any amount without the Company's written agreement.

1. Samples are provided to serious trade and institutional enquiries to demonstrate character and standard, and are dispatched under a sample slip recording SKU, batch and quantity.
2. Samples remain representative only; natural variation between a sample and a production batch, within the Company's stated standard, is not a defect.
3. Sample and courier costs may be charged and, where agreed, adjusted against a subsequent Order. Samples are supplied for evaluation and may not be resold or used commercially.

1. Provenance is the core of this House. Every consignment is traceable to a named village and a named hand, and every batch is documented and accountable.
2. On request and where applicable, the Company can provide batch references, origin and, for craft, the signature or attribution of the woman who made the piece.
3. The Buyer shall preserve batch and origin references and shall not detach, obscure, alter or falsify provenance, batch coding or certificates of origin.

1. The Company operates under valid statutory registrations, including registration under the Food Safety and Standards Act, 2006 (FSSAI), GST registration, Udyam (MSME) registration, and the MSME Sustainable (ZED) commitment. Current particulars are set out at Annexure A.
2. Food and edible Products are handled, stored and supplied in a manner consistent with applicable food-safety norms. The Buyer is responsible for compliance with the laws of the destination market, including labelling, import, shelf-life and food-safety requirements in that market.
3. Where the Buyer imports or re-labels Products, the Buyer shall ensure that all onward representations remain accurate and lawful and do not misdescribe origin, contents or certification.
4. The Company keeps its registrations in good standing and will notify Partners of any change materially affecting supply.

1. Products are supplied in the Company's standard trade packaging unless a Quotation specifies otherwise. Bulk formats are available for institutional buyers.
2. Private-label or co-branded supply is available by written agreement only, and does not transfer any right in the Company's marks, recipes, sourcing or provenance system.
3. Any private-label artwork, claims and regulatory approvals are the Buyer's responsibility; the Company may refuse artwork or claims that misrepresent the Product, its origin or the Source Communities.

1. Delivery terms (including any Incoterms for export) are as stated in the Quotation. Where none is stated, delivery is Ex-Works Dehradun.
2. Dispatch and delivery dates are estimates given in good faith; being a natural harvest, timelines may shift with season and weather, and the Company is not liable for reasonable delay so caused.
3. Unless otherwise agreed, risk passes to the Buyer on handover to the carrier or on collection; title passes only on receipt by the Company of payment in full for the relevant consignment.
4. The Buyer shall provide accurate delivery, import and documentary requirements in time; the Company is not liable for consequences of incomplete or incorrect Buyer instructions.

1. The Buyer shall inspect Products on delivery and notify any shortage, visible damage or non- conformity in writing within seven (7) days of receipt, with batch references and evidence.
2. Absent timely notice, Products are deemed accepted. Claims of natural variation within the stated standard are not valid grounds for rejection.
3. Where a valid non-conformity is established, the Company's sole obligation is, at its option, to replace the affected quantity or issue a credit; the Buyer shall not reject a whole consignment for a partial, curable defect.

1. The Company warrants that Products are supplied with good title, are sourced as represented, and conform in character and standard to the accepted sample and specification.
2. Save as expressly stated, all other warranties, conditions and representations, statutory or implied, are excluded to the fullest extent permitted by law, having regard to the natural, small-batch character of the Products.
3. The Buyer warrants that it is duly authorised, will use and on-sell the Products lawfully, and will uphold the ethical commitments in Articles 18–19 and 22.

1. Natural Products require correct storage. The Buyer shall store and handle Products as advised (including cold or refrigerated storage where specified) and observe stated shelf-life.
2. The Company is not responsible for deterioration, contamination or loss of quality arising after risk has passed due to the Buyer's storage, handling, transport or onward processing.

1. All rights in the name Himalayan Region, its marks, the “Organic Intelligence” identity, SKUs, artwork, photography, packaging, text and the provenance system remain the Company's exclusive property.
2. No right or licence is granted except as expressly stated in a written agreement. The Buyer shall not register, imitate or dilute the Company's marks, nor pass off any product as the Company's.
3. GI-tagged Aipan art is commissioned directly from Kumaoni women artisans and is protected under Geographical Indication. It must not be reproduced, machine-copied, imitated or misattributed. Aipan is a heritage asset and a living tradition — it may be honoured, never counterfeited.
4. Any goodwill arising from use of the Company's marks accrues solely to the Company.

1. Reserve Pricing, Quotations, sourcing relationships, batch data, artisan identities and the terms of any MoU are confidential and offered as a private portfolio.
2. Each party shall protect the other's confidential information, use it only for the engagement, and not disclose it without consent, save as required by law.
3. Identities and personal details of women artisans and Source Communities carry heightened protection and shall not be published, contacted for disintermediation, or exploited. N IRCE G LIEO N 1— 8 T E·R M ST OHFE E NHG E A GAERM ETN T O &F P ATRH T NIESR S HHI P O UC S

This Article is not a courtesy clause. It is the reason the House exists, and it binds the Company and every Partner alike. Behind every jar stands a lineage of women; earnings stay in the villages where the work is done.

1. Direct-to-market for the Source Communities. The Company's purpose is to connect SHGs, Mahila Mangal Dals and rural producer collectives — led by women and villagers — directly to corporate, national and international buyers, removing exploitative intermediaries.
2. Fair value at origin. Harvest and craft are commissioned at fair value; a meaningful share of value returns to the women and communities who create it.
3. Dignity of the hand. Each craft piece is attributed to the woman who made it. Provenance without proof is only a story; the House signs its work.
4. Restraint over extraction. Wild-gathered botanicals are foraged under community custom — rotational, restrained, never to excess — so the resource and the tradition both survive.
5. No exploitation. The Company will not deal with any party that engages in child labour, forced or bonded labour, or the exploitation of women or rural producers.

Binding on every Partner — a condition of engagement.

1. You shall not attempt to bypass, poach, or directly solicit the Company's Source Communities, SHGs, Mahila Mangal Dals or artisans in order to disintermediate the Company.
2. You shall not depress, coerce or misrepresent the value owed to origin communities.
3. You shall represent the women, their villages and their craft truthfully and respectfully in all onward marketing.
4. You shall uphold the same refusal of child, forced and exploitative labour across your own supply chain in respect of these Products.

1. The Company adheres to fair-trade principles and the dignity and human rights of its Source Communities, consistent with applicable Indian law and internationally recognised human-rights norms.
2. Each Partner represents that it complies with laws prohibiting child labour, forced and bonded labour, human trafficking and unlawful discrimination, and will act consistently with these commitments in dealing with the Products.
3. The Company may audit, on reasonable notice, a Partner's compliance with Articles 18–19 where the Products or the Company's name are involved, and may suspend dealings for non-compliance.

1. Each party shall process personal data exchanged for the engagement only for that purpose, keep it secure, and comply with applicable data-protection law, including the Digital Personal Data Protection Act, 2023 as in force.
2. Personal data of women artisans and community members is sensitive and shall not be collected, published or used for solicitation without the Company's written consent and, where required, the individual's consent.
3. Website, cookies and analytics. The website himalayanregion.com uses Google Analytics to understand which pages are useful, and the analytics tag loads only after the visitor selects "Accept" in the cookie notice. Declining keeps it off. The choice is stored in the visitor's own browser and can be changed at any time through "Cookie settings" in the footer. The site may also remember, for the length of a visit and in the browser only, where the visitor came from, so that an enquiry can show its source. Any advertising or social-media tag added in future will likewise load only after the visitor accepts.
4. Enquiries. Enquiry and quotation forms on the website do not send data to the Company's servers. They open WhatsApp or the visitor's email application with the details already written, and the visitor decides whether to send them. Details sent this way are used only to reply to the enquiry and to prepare quotations, samples and documents.
5. Embedded content. Maps, video and similar content from other providers (for example Google Maps or YouTube) load only when the visitor chooses to open them, and are then governed by that provider's own privacy terms.

The Company welcomes durable partnership. Partnerships are structured, documented and built to last — and are the vehicle through which Himalayan women's enterprise reaches the wider market. Hospitality & Wellness Partners HOTELS · WELLNESS · NUTRACEUTICAL Hotel groups, spas, wellness and nutraceutical brands integrating the Reserve into menus, amenities and formulations under co-branding terms. Import & Export Partners NATIONAL · INTERNATIONAL Importers, exporters and distributors opening national and international markets for Source-Community produce, subject to destination-market compliance. Corporate Gifting & Institutional Partners CORPORATE · GOVT · NON-GOVT Corporates, institutions and government and non-government bodies commissioning GI-tagged Aipan and curated hampers, and supporting women-led rural enterprise at scale. Tourism & Experience Partners AGRO-TOURISM Tourism operators delivering agro-tourism and heritage experiences in partnership with Himalayan villages and their women's collectives. Pathway & expectations. Enquiry → private Quotation → sampling → pilot Order → MoU for standing supply. Deeper partnership presumes: fair and timely payment; protection of provenance, marks and GI; adherence to Articles 18–19; truthful representation of the women and their craft; and a shared intent to grow the market with the Source Communities, not around them. Exclusivity, territory and co-branding are available by MoU. The Company reserves the right to select Partners whose own names are built on the same refusal to settle.

1. Each party shall comply with anti-bribery and anti-corruption laws, including the Prevention of Corruption Act, 1988, and shall not offer or accept any improper inducement in connection with the engagement.
2. Each party shall comply with applicable trade-control and sanctions laws, and shall not route the Company's Products in breach of them.

1. Neither party is liable for failure or delay caused by events beyond reasonable control, including crop failure, weather, natural disaster, epidemic, act of authority, or disruption to the high-altitude harvest.
2. The affected party shall notify the other promptly; if such an event continues beyond ninety (90) days, either party may terminate the affected Order without liability, save for Products already delivered.

1. The Company's aggregate liability arising out of any Order shall not exceed the invoice value of the Products giving rise to the claim.
2. Neither party is liable for indirect, incidental or consequential loss, or loss of profit, goodwill or opportunity, save where such exclusion is not permitted by law.
3. Nothing limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be limited under applicable law.
4. The Buyer shall indemnify the Company against loss arising from the Buyer's breach, unlawful onward sale, misrepresentation of the Products, or infringement of the Company's marks or GI.

1. These Terms govern the relationship for as long as any dealing subsists. An MoU may set its own term.
2. The Company may suspend supply or terminate any engagement with immediate effect where a Counterparty (a) fails to pay when due; (b) breaches Articles 16–19 or 22; (c) misuses the Company's marks, GI or provenance; or (d) becomes insolvent.
3. On termination, sums due become immediately payable, licences and rights to use the Company's marks cease at once, and confidential information is returned or destroyed. Articles concerning IP, GI, confidentiality, ethical commitments, liability, indemnity and governing law survive termination.

1. These Terms and every engagement are governed by the laws of the Republic of India.
2. The parties shall first attempt to resolve any dispute amicably in good faith. Failing resolution within thirty (30) days, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996; the seat and venue shall be Dehradun, Uttarakhand, and the language English.
3. Subject to arbitration, the courts and tribunals at Dehradun, Uttarakhand have exclusive jurisdiction.

1. Notices shall be in writing and sent to the Company at office@himalayanregion.com (copy manbar.singh@himalayanregion.com), Dehradun, Uttarakhand, India, and to the Counterparty at its lastH notified address.
2. Notice is deemed given on delivery, or on the next business day if sent by email before close of business.

1. Entire agreement. These Terms, with any signed Quotation or MoU, are the entire agreement and supersede prior understandings on their subject matter.
2. Amendments. The Company may update these Terms; the version in force at the time of an Order applies to that Order. Material changes will be notified to standing Partners.
3. Assignment. The Buyer shall not assign its rights without the Company's written consent; the Company may assign to a successor of its business.
4. Severability & waiver. If any provision is unenforceable, the rest continue in force. No delay or indulgence is a waiver.
5. No partnership. Nothing creates a legal partnership, agency or employment except as expressly agreed in an MoU.
6. Language. The English text prevails over any translation.
